•    Any changes to pricing will be communicated to the client before order confirmation 

Payment Terms

 Delivery

•    The total amount paid by the client for the specific goods or services giving rise to the claim 

Service-Related Limitations
Voltahertz Electrical Limited shall not be responsible for:
•    Pre-existing faults, defects, or conditions not identified at the time of service 
•    Damage resulting from improper use, modification, or handling of supplied goods or installed systems by the client or third parties 
•    Failures caused by external factors such as power fluctuations, environmental conditions, or equipment not supplied by Voltahertz 

Third-Party Liability
Where services involve third-party suppliers, subcontractors, or logistics providers:
•    Voltahertz Electrical Limited shall not be liable for the acts, omissions, or performance of such third parties

Client Responsibility
The client shall be responsible for:
•    Ensuring proper use and maintenance of supplied products and installed systems 
•    Complying with all safety guidelines and operational instructions 
•    Providing accurate specifications and requirements for services 
 

Indemnity
The client agrees to indemnify and hold harmless Voltahertz Electrical Limited, its employees, and agents from and against any claims, damages, losses, or liabilities arising from:

•    Breach of these Terms by the client 
•    Failure to comply with applicable laws, regulations, or safety requirements 

Exceptions
Nothing in these Terms shall exclude or limit liability where such limitation is prohibited by applicable law, including liability for:

Intellectual Property

Termination by Client
The client may terminate an order or service agreement by providing written notice to Voltahertz Electrical Limited, subject to:
•    Settlement of all outstanding payments 
•    Payment for work already completed or goods already supplied 
•    Applicable cancellation or administrative charges 

Effect of Termination
Upon termination:
•    All outstanding invoices become immediately due and payable 
•    Voltahertz Electrical Limited reserves the right to suspend delivery of goods or services 
•    Any licenses or rights granted to the client under these Terms may be withdrawn 
•    Voltahertz Electrical Limited shall not be liable for any losses arising from termination in accordance with these Terms
 

Partial Termination (Project-Based Services)
For ongoing or project-based engagements:
•    Voltahertz Electrical Limited may suspend or terminate specific phases of the project 
•    Adjustments to scope, timelines, and costs may be applied accordingly 
•    Work completed up to the point of termination shall be invoiced 

Termination Due to External Factors
Voltahertz Electrical Limited may terminate or suspend services where continuation is not reasonably possible due to:
•    Force majeure events 
•    Regulatory or legal restrictions 
•    Supply chain disruptions or material unavailability 

Survival of Terms
Any provisions which by their nature should survive termination, including but not limited to:
•    Payment obligations 
•    Liability limitations 
•    Intellectual property rights 
shall remain in effect after termination.
 

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Kenya.

Jurisdiction

Any disputes, claims, or legal proceedings arising out of or in connection with these Terms, the use of Voltahertz Electrical Limited services, or any related transactions shall be subject to the exclusive jurisdiction of the courts of Kenya.
 

Dispute Resolution

The parties shall make reasonable efforts to resolve any disputes amicably through good faith negotiations prior to initiating formal legal proceedings.

Where a dispute cannot be resolved amicably:

  • The matter may be referred to mediation or alternative dispute resolution mechanisms where appropriate

  • If unresolved, the dispute shall be submitted to the competent courts of Kenya for determination

 

Applicable Regulations

In addition to the general laws of Kenya, these Terms shall be interpreted in accordance with:

  • Applicable commercial and contract laws

  • Relevant consumer protection laws

  • Any applicable industry regulations governing electrical services, trade, and logistics
     

Cross-Border Transactions

For international engagements:

  • These Terms shall still be governed by the laws of Kenya unless otherwise agreed in writing

  • Clients acknowledge that local laws in their jurisdiction may also apply to specific aspects such as customs, importation, or taxation
     

Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law:

  • Such provision shall be deemed severed from the Terms

  • The remaining provisions shall continue in full force and effect

Customer Support

Our team is available to:
•    Provide clarification on these Terms and Conditions 
•    Assist with service-related inquiries and contractual matters 
•    Address concerns regarding orders, payments, or delivery 
•    Support dispute resolution and communication 

Response Time

Amendments and Variations
No amendment, modification, or variation of these Terms shall be valid unless:

No Waiver

Assignment
The client shall not assign, transfer, or delegate any rights or obligations under these Terms without prior written consent from Voltahertz Electrical Limited.
Voltahertz Electrical Limited reserves the right to assign or transfer its rights and obligations where necessary for operational or business purposes.

Severability (Reinforced)
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable:
•    The remaining provisions shall continue in full force and effect 
•    The invalid provision shall be replaced with a valid provision that most closely reflects the original intent
